Ping Identity’s Legal team is looking for a detail-oriented and proactive Sr. Paralegal to support our attorney responsible for global entity management, mergers and acquisitions activity, corporate governance, and SEC-related matters. This role is ideal for someone who thrives in a fast-paced environment, enjoys managing complex corporate records, and is eager to contribute to high-impact strategic transactions.
You will:
Entity Management
- Maintain global subsidiary records, organizational charts, and minute books.
- Coordinate entity filings, annual reports, registrations, and compliance obligations across multiple jurisdictions.
- Support formation, dissolution, and restructuring activities.
- Liaise with outside counsel for international entity matters and statutory filings.
Mergers & Acquisitions
- Assist with deal diligence, document collection, data room management, and closing coordination.
- Prepare signature packets, closing checklists, and post-closing binders.
- Support integration work streams, including corporate updates and record keeping.
Corporate Governance & SEC Support
- Help prepare board and committee materials, calendars, and resolutions.
- Maintain corporate databases and governance documents.
- Assist with Section 16 filings, Form D filings, and routine SEC-related processes (no drafting required, but strong organizational support).
- Track governance-related deadlines and support corporate policy updates.
General Legal Support
- Manage contract signatures, notarizations, and document retention.
- Coordinate cross-functional requests with Finance, Tax, HR, and other teams.
- Support special projects related to compliance, corporate structure, or process improvements.
You have:
- 5–10+ years of paralegal experience, ideally in corporate, M&A, or securities work (in-house or law firm).
- Strong understanding of corporate entities and governance practices.
- Excellent attention to detail and the ability to manage multiple deadlines.
- Discretion with sensitive information and exceptional organizational judgment.
- Strong communication skills and a collaborative work style.
- Bachelor’s degree or Paralegal Certificate preferred
Salary Range: $119,000 - $148,000
In accordance with Colorado’s Equal Pay for Equal Work Act (SB 19-085) the approximate compensation range for this role in Colorado is listed above. Final compensation for this role will be determined by various factors, such as knowledge, skills, and abilities.
