Position Summary:
Capital Rx is seeking a highly motivated, diligent, and detail-oriented Contract Analyst to join a dynamic, rapidly growing company and support a fast-paced Legal team across a wide range of legal matters. This role will serve regularly collaborate with the organization’s Vendor Management Team, as well as support the Legal Department and Privacy Office. The Contract Analyst will support these groups by drafting, reviewing, negotiating, and administering vendor contracts, as well as privacy and confidentiality agreements with vendors, clients, and other third parties, and by collaborating with internal stakeholders and subject matter experts to identify and resolve contract risks and facilitate smooth contract execution.
The Contract Analyst will report to the Senior Legal Counsel, but will also work closely with other Legal Department attorneys, members of the Privacy Office, and other business leaders. The successful candidate will be self-motivated, have a strong attention to detail, and be adept at balancing often competing priorities and deadlines.
Position Responsibilities:
- Liaison with the Vendor Management Team, working closely with representatives from Procurement, Finance, Compliance, Information Technology Security & Compliance, and others to ensure all third parties are properly vetted and agreements (including master service agreements (MSAs), software-as-a-service agreements (SaaS), work orders, statements of work (SOWs), amendments, renewals, and terminations) are aligned with organizational requirements.
- Support the Legal Department and Privacy Office’s work involving confidentiality and privacy agreements (including non-disclosure agreements (NDAs), business associate agreements (BAAs), data-sharing agreements (DSAs), and data protection agreements (DPAs)) relevant to both vendor and client relationships.
- Manage contract preparation through all lifecycle stages (drafting, revision, approval, filing, and distribution)
- Identify potential contract risks and propose mitigation strategies
- Collaborate and work cross-functionally with internal teams in sales, account management, proposal management, underwriting, operations, privacy, IT, ITSC, compliance, and finance groups, to ensure timely communication and completion of legal deliverables
- Contribute to process improvements, standardization of contract templates, and development or enhancement of playbooks to streamline contract processes and increase efficiency.
- Ensure adherence to contracting processes such as internal review-and-approval and distribution workflows
- Help manage the contract lifecycle management (CLM) platform and other technology tools
- Support special projects and other duties as needed for the Legal Department and Privacy Office.
- Responsible for the adherence to the Capital Rx Code of Conduct including reporting of noncompliance
Required Qualifications:
- Bachelor’s degree or associate degree in paralegal studies OR Associate's degree and Paralegal Certificate OR equivalent combination of experience and education (one year of experience equals one year of education) required.
- 2+ years as a contracts manager and/or paralegal, preferably in a law firm or in-house corporate legal department setting.
- Experience in using legal-department technology solutions (e.g., contract lifecycle management, document-management, and matter-management programs)
- Proven track record of collaborating with cross-functional groups (e.g., finance, operations, sales)
- Ability to work both independently and as part of a team in a fast-paced environment, while successfully managing multiple projects to completion
- Excellent analytical, problem-solving, and verbal and written communication skills
- Attention to detail and commitment to delivering high-quality work product
- Passion to continuously develop and expand skills and knowledge base in a fast-growing company.
- Demonstrated proficiency with Microsoft Office products and Adobe Acrobat Pro
Preferred Qualifications:
- Prior experience with a health care provider, payer, or other health care related organization; OR prior experience with a tech-focused organization.
- Paralegal experience/certificate preferred
