We are seeking an experienced Corporate Lawyer to join our U.S. legal team. This role involves overseeing corporate governance, equity management, and compliance while advising leadership on corporate structuring, M&A, and regulatory matters, while supporting the business expansion throughout the US.

Responsibilities

Key Responsibilities:
1.Holdings and Equity Management
Oversee the legal aspects of managing the company's holdings, subsidiaries, and equity structures.
Oversee equity grants, stock option plans, and related employee equity matters.
Ensure compliance with securities laws and regulations pertaining to equity issuance and management.
Advise on equity financing transactions and capital structure decisions.
Coordinate corporate structuring, reorganizations, and capitalization matters.
2.Mergers and Acquisitions:
Lead legal due diligence for potential M&A deals and strategic investments.
Draft, review, and negotiate term sheets, purchase agreements, and related transaction documents.
Advise executive leadership on legal risks and implications associated with transactions.
Facilitate post-merger integration from a legal standpoint.
3.Corporate Legal Matters:
Provide counsel on a wide range of corporate issues, including contracts, compliance, intellectual property, and regulatory matters.
Assist in preparing board materials, minutes, resolutions, and maintaining corporate records.
Monitor and analyze changes in laws and regulations that affect the company’s operations.
Manage relationships with external legal advisors and coordinate their activities.
4.Cross-Functional Collaboration:
Work closely with internal departments to provide integrated legal support.
Participate in strategic planning sessions and contribute to decision-making processes.

Qualifications

Qualifications:
Juris Doctor (JD) degree from distinguished US law school.
Active membership in good standing with at least one U.S. state bar.
Minimum of 5 years of relevant legal experience in corporate law.
Prior in-house legal experience within the technology, ride-hailing, or transportation industry is highly preferred.
Deep understanding of corporate governance, securities law, equity structures, and regulatory compliance.
Proven track record in negotiating complex transactions and managing multiple projects.
Exceptional analytical, negotiation, and drafting skills.
Strong interpersonal skills with the ability to communicate effectively with all levels of the organization.
