The role

We are seeking a highly motivated and experienced Corporate Legal Counsel with a strong background in corporate law to join our legal team. This is a pivotal role for an attorney who thrives in a fast-paced defence-tech environment and is eager to take on significant responsibility. You will play a crucial part in managing the corporate legal affairs of our company, working closely with various teams and senior leadership.

The day-to-day

  • Corporate Housekeeping: Manage and maintain corporate records, ensure corporate governance compliance with legal and statutory requirements for the parent company and all German based corporate subsidiaries

  • Corporate Office Support: Provide comprehensive legal support to the SE Administrative Board and Management Board, including preparation of board and shareholder resolutions, minutes, powers of attorney, and ensuring adherence to corporate governance best practices

  • Mergers & Acquisitions: Actively participate in M&A activities, including due diligence, drafting and negotiating transaction documents (e.g., share purchase agreements, asset purchase agreements), and managing post-closing integration

  • General Corporate Legal Advice: Provide proactive and pragmatic legal advice on various corporate law matters, including organizational changes, capital measures, and internal policies

  • Interdepartmental Collaboration: Collaborate closely with Finance, HR and other internal teams to support their initiatives from a legal perspective

  • External Counsel Management: Coordinate and manage external legal counsel relationships when specialized expertise is required

You should apply if you

  • Are a fully qualified lawyer in Germany (Volljurist) with an excellent academic record

  • Have relevant professional experience in corporate law, gained at a reputable law firm and/or in-house legal department, ideally within a fast-paced environment or startup

  • Have profound expertise in German corporate law, particularly regarding SE (Societas Europaea) structures

  • Can demonstrate experience in M&A transactions

  • Have a strong understanding of corporate governance principles and practices

  • Have excellent drafting, negotiation, and communication skills

  • Are able to work independently, manage multiple priorities, and meet deadlines in a dynamic setting

  • Can show strategic thinking, problem-solving abilities, and a solution-oriented mindset

  • Demonstrate a high level of integrity, professional ethics, and attention to detail

  • Are fluent in German and English (both written and spoken)
