Our Legal Department is seeking a commercial contracts attorney to assist with B2B SaaS transactions and general contract matters. This position will report to our Associate General Counsel and is open to attorneys with 4+ years of relevant experience.

What you will do:

  • Review, draft, analyze, advise on, and negotiate a high volume of contracts for B2B sales of Awardco’s cloud-based (SaaS) web platform, including master subscription/service agreements (MSAs), SaaS agreements, service level agreements (SLAs), statements of work (SOWs), order forms, data privacy/protection agreements (DPAs), cybersecurity agreements, and related ancillary agreements.
  • Work closely with Sales, Information Security (InfoSec), and Finance teams to drive transactions to completion, manage risk, and ensure compliance. Support the Request for Proposal (RFP) team in all legal aspects of responses/proposals for prospective enterprise clients
  • Serve as a trusted resource for the Sales department, explaining issues and risks presented in contract redlines, advising on alternatives, strategizing solutions, and leading legal negotiations to successful resolutions.
  • For SaaS sales transactions, maintain and improve Awardco’s standard form agreements, help manage a repository of pre-approved fallback provisions for legal negotiations, develop and enforce contracting policies and procedures (e.g., internal approval requirements for non-standard terms), and implement and refine Awardco’s contracting process to streamline workflow and optimize time to close.
  • Stay current on industry standards for software-related agreements for B2B SaaS and relevant laws and regulations, including cybersecurity requirements as well as data privacy laws and regulations in domestic and applicable international jurisdictions.
  • Work with outside counsel and outside advisors where applicable, including data privacy counsel, cybersecurity advisors, and commercial liability insurers/brokers.
  • Design and deliver internal legal trainings related to SaaS sales transactions, advising on relevant legal issues and risks, contracting policies and procedures, approval processes, etc.
  • Support Awardco departments with general legal needs and considerations.
  • Assist as needed on other legal matters dictated by business needs, such as vendor contracts, miscellaneous commercial contracts, international matters, regulatory matters, employment matters, SaaS platform and end user terms and conditions, advancements in artificial intelligence, etc.

What you will bring:

  • J.D. from a law school accredited by the ABA.
  • Licensed to practice law and in good standing in one or more U.S. states.
  • 4+ years of experience, either at a reputable law firm serving technology-based businesses and/or in-house at a software company, in either case heavily engaged in reviewing, drafting, analyzing, advising on, and negotiating software and technology-related agreements, preferably for B2B SaaS transactions.
  • Excellent contract drafting, analytical, and critical thinking skills, with a keen understanding of key commercial contract provisions including Limitations of Liability, Indemnification, Representations & Warranties, Intellectual Property Rights, and Data Security.
  • Maturity, poise, and a positive attitude in contract negotiations with legal counsel for Awardco customers ranging from Fortune 500 companies to mid-market and SMBs.
  • Demonstrated ability to explain complex legal issues in a clear and concise manner and provide succinct, practical, and results-oriented legal advice.
  • Extremely well-organized and detail-oriented with the proven ability to adapt, prioritize, plan, and successfully manage a high volume of deals with changing or competing priorities. Independent and proactive style of working combined with a high level of self-motivation, confidence, and resourcefulness.

Notes on preferred experience:

  • Candidates who lack deep expertise in data privacy laws and regulations, such as GDPR and CPRA, but have extremely strong experience with software licensing and/or SaaS subscriptions (preferably for B2B SaaS) are still encouraged to apply. The former is a plus. The latter is a must.
  • Prior experience with Ironclad CLM and generative AI tools is preferred, but not a must
