About the role

We are seeking an experienced Corporate Counsel specializing in transactions to join our growing legal team. As our business continues to scale rapidly, we need a skilled attorney who can provide expert guidance on complex corporate transactions. The ideal candidate will bring strong drafting and negotiation skills along with strategic business acumen to help navigate our growth while managing legal risk.

Responsibilities:

  • Lead and oversee a wide range of corporate and securities transactions including equity financings, debt and structured debt transactions, and M&A transactions
  • Provide strategic counsel throughout all phases of transactions, from initial term sheet negotiation through due diligence and closing
  • Structure, negotiate, and draft transaction documents including stock purchase agreements, credit facilities, merger agreements, disclosure schedules, and ancillary closing documentation
  • Work closely with our People, Finance, and HR teams to design, structure, and implement equity compensation programs, including stock option plans, RSUs, and other incentive programs across multiple jurisdictions
  • Lead corporate governance initiatives, including board and committee meeting preparation, corporate resolutions, and ensuring compliance with bylaws and corporate policies
  • Manage outside counsel as needed on various transactional matters
  • Stay current on relevant legal developments and emerging market trends to proactively address potential impacts on the business

You may be a good fit if you:

  • Have a JD from an accredited law school and active membership in at least one U.S. state bar (California preferred)
  • Have 5-10 years of relevant legal experience with strong experience in drafting, reviewing, and negotiating complicated corporate agreements
  • Are humble, thoughtful, exercise sound judgment, and operate at the highest level of integrity
  • Have strong organizational and project management skills, and are able to prioritize and execute on tasks
  • Have exceptional analytical, writing, and communication skills. You understand how to succinctly and effectively communicate legal issues to non-lawyers

Strong candidates may have:

  • In-house or similar experience at a global law firm
  • Experience in a tech company or other fast-paced environment

Role-specific policy: For this role, we expect all staff to be able to work from our San Francisco office at least 3 days a week, though we encourage you to apply even if you might need some flexibility for an interim period of time.

The expected salary range for this position is:

Annual Salary:
$240,000$300,000 USD

Logistics

Education requirements: We require at least a Bachelor's degree in a related field or equivalent experience.

Location-based hybrid policy:
Currently, we expect all staff to be in one of our offices at least 25% of the time. However, some roles may require more time in our offices.

Visa sponsorship: We do sponsor visas! However, we aren't able to successfully sponsor visas for every role and every candidate. But if we make you an offer, we will make every reasonable effort to get you a visa, and we retain an immigration lawyer to help with this.
